Terms of Service

These Terms explain the rules for using Gate + Gather, whether you're opening a Gate, selling through one, or buying from one.

We've kept them as clear as we can. They sit alongside our Seller Policy, What can be sold, Privacy Policy, and Payments, cancellations & refunds information.

Gate + Gather provides the technology that allows independent sellers to create a Gate, show what's currently available, take orders, manage stock and organise payment and collection or delivery.

We provide the platform. The products listed on individual Gates are offered and sold by the seller operating that Gate.

You must provide accurate information when creating an account and keep your login details secure.

If you're opening a Gate for a business, school, club or other organisation, you need to have authority to act on its behalf.

We may ask you to verify information about yourself, your organisation, payment details or collection location before your Gate can open or accept orders.

Each Gate is operated by an independent seller. Sellers decide what they sell, what they charge, how customers receive their orders and which available payment methods they accept.

Gate + Gather doesn't own the seller's stock and isn't the seller of products listed on a Gate.

Sellers remain responsible for meeting their obligations to customers and complying with applicable New Zealand law.

Use Gate + Gather fairly, lawfully and for its intended purpose.

Don't use the platform to mislead people, interfere with other users, attempt to bypass security, create fraudulent accounts or sell anything prohibited by our policies.

Sellers must also follow the Seller Policy and What can be sold rules.

Sellers are responsible for making sure their listings are accurate and current.

Descriptions, prices, availability, photographs and other information shouldn't mislead customers. Sellers must also have the right to use any photographs, logos, names or other content they upload.

Stock should be kept reasonably up to date so customers aren't ordering products that aren't actually available.

When a customer places an order, Gate + Gather records the order and reserves or reduces the relevant stock according to the payment and fulfilment method being used.

Sellers are responsible for preparing and fulfilling accepted orders and providing accurate collection or delivery information.

If an order is cancelled, reserved stock may be returned to availability.

Sellers can choose from the payment methods supported by Gate + Gather.

Online payments may be processed by an independent payment provider. That provider may require sellers to complete identity, business or bank-account verification and will apply its own terms and processing fees.

Where offline payment is offered — such as cash, bank transfer or payment on collection — the seller is responsible for collecting and recording that payment.

Some Gate + Gather features require a paid subscription.

Subscription prices and what's included in each plan will be shown before you subscribe. You can change or cancel your plan in accordance with the options available in your account.

We'll tell you before making material changes to your subscription price.

Gate + Gather is designed around subscriptions rather than taking a percentage of every plant you sell.

We don't charge a Gate + Gather sales commission on individual orders. Independent payment-processing fees may still apply when online payments are used.

A seller's product sale and a Gate + Gather subscription are separate transactions.

If there's a problem with something purchased through a Gate, the seller is responsible for dealing with the customer and providing any remedy required under applicable law.

Gate + Gather handles questions relating to Gate + Gather subscription charges separately.

Nothing in these Terms is intended to remove rights or remedies that cannot lawfully be excluded under New Zealand law.

Sellers keep ownership of the photographs, logos, descriptions and other content they upload to Gate + Gather.

By uploading content, sellers give Gate + Gather permission to store, display, resize and otherwise use that content as reasonably necessary to operate and promote their Gate and provide the service.

Don't upload content you don't own or have permission to use.

New Zealand's biosecurity rules matter.

Plants, seeds, bulbs, cuttings and other propagation material listed on Gate + Gather must already be lawfully present in New Zealand and must be lawful to possess, propagate and sell.

Gate + Gather does not permit internationally supplied plant material to be sold through the platform.

If you're unsure whether something can legally be sold or propagated in New Zealand, don't list it until you've checked.

We want Gate + Gather to be a trusted place to buy from independent growers.

We may investigate listings, orders, accounts or Gates where we receive a report or identify a possible safety, fraud, biosecurity, legal or policy issue.

Where necessary, we may hide a listing, request more information, restrict an account, suspend a Gate or permanently close it. Serious issues may require immediate action.

We collect and use personal information to operate Gate + Gather, process orders, support sellers and customers, prevent misuse and improve the service.

We don't automatically publish a seller's private collection address simply because it has been provided to Gate + Gather.

Our Privacy Policy explains what we collect, why we collect it, who we may share it with and your rights regarding your information.

We'll work to keep Gate + Gather reliable and available, but no online service operates without interruption.

From time to time the service may be unavailable because of maintenance, technical problems, third-party services or circumstances outside our reasonable control.

Where practical, we'll try to minimise disruption.

Gate + Gather provides the platform connecting sellers with their customers. Sellers remain responsible for their products, listings, fulfilment and obligations to customers.

The final Terms will explain how responsibility and liability are allocated between Gate + Gather, sellers and customers, including where third-party services such as payment providers are involved.

Nothing in these Terms will exclude or limit a right or liability where doing so would be unlawful.

Sellers can close their Gate or cancel their Gate + Gather account subject to any outstanding orders, payments or obligations.

Gate + Gather may suspend or terminate access where these Terms or our policies are seriously or repeatedly breached, or where action is necessary for safety, legal compliance or platform integrity.

Closing a Gate doesn't automatically remove obligations relating to orders already placed.

Gate + Gather will change as the platform develops, so these Terms may occasionally need to change too.

If we make a material change, we'll provide reasonable notice where appropriate. Continuing to use Gate + Gather after updated Terms take effect means the new Terms will apply to future use of the service.

Gate + Gather operates in New Zealand and these Terms are governed by New Zealand law.

Any rights you have under New Zealand law continue to apply.
